This Vendor Registration Agreement (“Agreement”) is entered into by and between:

  • Yaanna (hereinafter referred to as “Platform”), with its principal place of business at [Address], and
  • The Vendor (hereinafter referred to as “Vendor”), a business entity or individual registering to sell Products on the Platform’s website (“Website”).

By completing the registration process, the Vendor agrees to be bound by the terms of this Agreement and all applicable policies of the Platform.

  1. DEFINITIONS

1.1 Platform: The e-commerce website that enables third-party vendors to list, sell, and market their Products to customers.

1.2 Vendor: An individual or entity that registers and maintains an account with the Platform to sell products or services.

1.3 Products: Goods (________________________) that the Vendor offers for sale through the Platform.

1.4 Website: The online platform operated by [Platform Name] where the Vendor will list and sell their Products.

1.5 Order: A purchase made by a Customer for the Products listed by the Vendor.

1.6 Customer: A registered or unregistered user of the Platform who purchases Products.

  1. REGISTRATION AND ACCOUNT CREATION

2.1 Eligibility: To register as a Vendor, the individual or entity must be legally able to conduct business in their jurisdiction and must not be prohibited from selling on the Platform under any applicable law. Vendors must be at least 18 years of age or a legally recognized entity.

2.2 Registration Process: The Vendor agrees to provide truthful, complete, and accurate information during the registration process, including but not limited to their name, email address, physical business address, tax identification number (if applicable), GST number and bank account details for payment processing. The Vendor acknowledges that failure to provide accurate information may result in the rejection of their application or suspension of their account.

2.3 Account Approval: Upon submission of the registration, the Platform will review the Vendor’s application. The Platform reserves the right to approve or reject any registration at its sole discretion. The Vendor will be notified of the decision within [Timeframe] days.

2.4 Account Security: The Vendor is responsible for maintaining the confidentiality of their account login information and is solely responsible for any activity that occurs under their account. The Vendor agrees to immediately notify the Platform of any unauthorized access or breach of security.

  1. OBLIGATIONS AND RESPONSIBILITIES OF THE VENDOR

3.1 Product Listings:

  • The Vendor is solely responsible for creating, managing, and maintaining accurate product listings on the Platform, including descriptions, prices, images, specifications, and availability.
  • The Vendor agrees to update the listings regularly to reflect any changes in the product’s availability, price, or description. The Vendor is also responsible for ensuring that the listing complies with all applicable laws, regulations, and intellectual property rights.

3.2 Product Quality:

  • The Vendor guarantees that all Products listed for sale are genuine, safe, and meet applicable quality standards, including compliance with consumer protection laws, health and safety regulations, and any other relevant standards.
  • The Vendor acknowledges that the Platform reserves the right to remove any Products that do not meet these standards or that it deems unsuitable for sale.

3.3 Inventory Management:

  • The Vendor must maintain up-to-date inventory levels on the Platform and remove or deactivate listings for Products that are out of stock.
  • The Vendor must fulfil all Orders within the specified delivery timeframe, and keep the Platform and Customers informed in the event of stock shortages, delays, or cancellations.

3.4 Fulfilment and Shipping:

  • The Vendor is responsible for processing and shipping all Orders in a timely and professional manner.
  • The Vendor agrees to provide accurate shipping costs and to use reliable shipping carriers that offer tracking capabilities. The Vendor must provide tracking information to the Platform and the Customer when available.
  • The Vendor is responsible for any customs duties, taxes, or fees related to the shipment of Products, especially for international orders.

3.5 Returns and Refunds:

  • The Vendor agrees to adhere to the Platform’s return and refund policy. The Vendor is responsible for processing return requests and issuing refunds or exchanges in a timely manner.
  • The Vendor agrees to handle customer complaints and issues related to returns or product quality directly, and to ensure that any issues are resolved in compliance with the Platform’s customer service standards.

3.6 Customer Support:

  • The Vendor must provide responsive and professional customer support for any inquiries, complaints, or issues related to the Products they sell.
  • The Vendor agrees to resolve disputes or claims related to the Products in a timely and customer-friendly manner, adhering to the Platform’s dispute resolution process if necessary.

3.7 Compliance with Laws:

  • The Vendor agrees to comply with all applicable local, state, and international laws, including but not limited to:
    • Consumer protection laws
    • Intellectual property laws (copyrights, trademarks, patents)
    • Data protection and privacy laws
    • Tax and import/export regulations
  • The Vendor must not sell counterfeit or illegal products, or engage in any unlawful activities through the Platform.
  1. PLATFORM’S RIGHTS AND OBLIGATIONS

4.1 Access and License:

  • The Platform grants the Vendor a non-exclusive, non-transferable, and revocable license to use the Website to list and sell their Products under the terms of this Agreement. The Platform retains the right to modify, suspend, or terminate the Vendor’s access to the Website at any time, for any reason, including violations of this Agreement.

4.2 Content Control:

  • The Platform reserves the right to review, approve, or reject any content uploaded by the Vendor, including product descriptions, images, and other materials.
  • The Platform has the right to remove or modify any content that it deems offensive, infringing on intellectual property rights, or otherwise inappropriate.

4.3 Marketing and Promotions:

  • The Platform may promote the Vendor’s Products through various channels, including social media, email, or paid advertisements. The Vendor grants the Platform the right to use product images, descriptions, and other marketing materials for these purposes.

4.4 Customer Data:

  • The Platform will provide the Vendor with access to customer information relevant to their transactions (e.g., order details, shipping addresses) in order to facilitate fulfilment. The Vendor agrees to treat all customer data as confidential and to comply with data protection and privacy regulations.
  1. FEES AND PAYMENTS

5.1 Platform Fees:

  • The Vendor agrees to pay the Platform fees as described in the Fee Schedule. These may include listing fees, transaction fees, payment processing fees, and any other charges related to using the Platform.
  • The Platform reserves the right to modify its fee structure at any time, provided the Vendor is notified of the changes.

5.2 Payment Processing:

  • All payments for Products sold by the Vendor will be processed through the Platform’s payment processor. The Platform will deduct applicable fees before disbursing payments to the Vendor.
  • Payments will be disbursed to the Vendor’s designated account on a [weekly/monthly] basis, subject to any applicable payment processing times.

5.3 Tax Responsibilities:

  • The Vendor is solely responsible for any taxes, including sales tax, VAT, or other duties arising from the sale of Products on the Platform. The Platform may collect taxes on behalf of the Vendor in certain jurisdictions, but the Vendor is responsible for ensuring compliance with all tax laws.
  1. INTELLECTUAL PROPERTY

6.1 Ownership:

  • The Vendor retains ownership of all intellectual property rights in the Products they sell and the content they upload to the Platform. However, the Vendor grants the Platform a non-exclusive, royalty-free license to use, display, and distribute the content for the purpose of facilitating the sale of the Products.

6.2 Infringement:

  • The Vendor agrees not to infringe upon the intellectual property rights of others and to ensure that their Products and listings do not violate any copyright, trademark, patent, or other proprietary rights.
  1. TERM AND TERMINATION

7.1 Term:

  • This Agreement will begin on the Effective Date and will continue until terminated by either party in accordance with this Agreement.

7.2 Termination by Vendor:

  • The Vendor may terminate this Agreement at any time by closing their account and ceasing to list Products on the Platform. Termination will not affect any pending transactions.

7.3 Termination by Platform:

  • The Platform may terminate this Agreement and suspend the Vendor’s account at any time, for any reason, including breach of the terms outlined in this Agreement.

7.4 Effect of Termination:

  • Upon termination, the Vendor must cease all sales activities and remove any content related to the Products from the Platform. All outstanding payments due to the Vendor will be processed as per the Platform’s payment terms.
  1. INDEMNIFICATION AND LIMITATION OF LIABILITY

8.1 Indemnification:

  • The Vendor agrees to indemnify, defend, and hold harmless the Platform from any claims, damages, liabilities, costs, or expenses arising from the Vendor’s breach of this Agreement, the sale of Products, or any other activities related to their use of the Platform.

8.2 Limitation of Liability:

  • The Platform will not be liable for any indirect, incidental, special, or consequential damages arising from the Vendor’s use of the Platform, including lost profits, business interruption, or data loss.
  1. DISPUTE RESOLUTION

9.1 Governing Law:

10.1 Amendments:
